1. Acceptance of Terms

By accessing and using this website or any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, our Privacy Policy, and any other policies referenced herein. If you do not agree to these Terms, you must not use our website or services.

2. Services

EDC OFFICIEL LIMITED provides information technology consultancy activities and computer facilities management activities (SIC: 620200). Our services include IT Strategy Consultancy, Cloud Infrastructure Management, Cybersecurity Solutions, Software Development and Integration, IT Support and Facilities Management, and Digital Transformation Advisory. The scope, deliverables, timelines, and fees for specific engagements will be defined in separate service agreements.

3. Subscription Plans

Our subscription plans (Basic, Standard, Premium, Enterprise) are offered on a monthly basis. By subscribing:

• Plan fees are billed monthly in arrears (invoice on delivery).
• No payment is required at the time of placing an order.
• You are responsible for paying all applicable fees in a timely manner.
• We reserve the right to modify plan pricing upon 30 days' written notice.
• Continued use of services after a price change constitutes acceptance of the new pricing.

4. Client Obligations

As a client of EDC OFFICIEL LIMITED, you agree to:

• Provide accurate, current, and complete information when engaging our services.
• Cooperate with our consultants by providing timely access to necessary systems, personnel, and information.
• Ensure that any third-party software or hardware required for service delivery is properly licensed and in place.
• Not use our services for any illegal, fraudulent, or unauthorized purpose.
• Promptly notify us of any changes in your requirements that may affect service delivery.

5. Intellectual Property

All intellectual property rights in our website are owned by or licensed to EDC OFFICIEL LIMITED. Pre-existing intellectual property of either party remains the property of that party. Deliverables created specifically for a client will be assigned to the client upon full payment. General methodologies, frameworks, and know-how developed by EDC OFFICIEL LIMITED remain our property.

6. Confidentiality

Both parties acknowledge that in the course of the business relationship, they may receive confidential information. Each party agrees to keep all confidential information strictly confidential, not disclose it to third parties without prior written consent, and use it only for the purpose of performing obligations under the service agreement.

7. Limitation of Liability

To the maximum extent permitted by applicable law: EDC OFFICIEL LIMITED's total liability for any claim shall not exceed the fees paid by you in the three (3) months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business interruption.

8. Indemnification

You agree to indemnify, defend, and hold harmless EDC OFFICIEL LIMITED, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your infringement of any third-party rights.

9. Termination

Either party may terminate a service engagement by providing 30 days' written notice. Immediate termination is possible if the other party commits a material breach not remedied within 14 days of notification, or becomes insolvent. Upon termination, you shall pay all outstanding fees for services rendered up to the termination date.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong, unless the parties agree to resolve disputes through arbitration or mediation.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including acts of God, natural disasters, pandemics, government actions, labor disputes, or failures of third-party services.

12. Amendments

We reserve the right to amend these Terms at any time. We will provide reasonable notice of material changes. Continued use of our services after changes constitutes acceptance of the revised Terms.
